Welcome to SkuDown.com (“SKU Down”, “we”, “us”, or “our”), a service provided by TT Services LLC, doing business as Goat Consulting. These Terms of Service (“Terms”) govern your access to and use of our website, software, and monitoring services (collectively, the “Service”). By accessing or using the Service, you agree to be legally bound by these Terms.

If you do not agree with these “Terms”, you may not access or use the Service.

1. Eligibility and Account Responsibility

To use the Service, you must:

  • Be at least 18 years old and legally capable of forming a binding contract;
  • Own or have authorized access to an Amazon Seller Central account;
  • Provide accurate and complete registration information;
  • Keep your account credentials secure and confidential.

You are fully responsible for all activities under your account, whether or not authorized by you.

2. Description of the Service

SKU Down is a software-as-a-service (SaaS) platform that:

  • Connects to your Amazon Seller account using Amazon's Selling Partner API (SP-API);
  • Monitors product listings you specify by ASIN;
  • Detects when those ASINs are suppressed, down, or out of stock;
  • Sends alerts (via email or other means) when such events are detected.

IMPORTANT:

SKU Down does not make any changes to your Amazon listings. It is a read-only monitoring tool. You are solely responsible for managing and correcting any issues within your Amazon account.

3. Amazon Account and API Dependency Disclaimer

The Service relies on third-party APIs, including but not limited to Amazon's Selling Partner API. If Amazon revokes or limits access, modifies API behavior, or changes policy, this may impact the functionality of SKU Down.

We are not responsible for any suspension, warning, restriction, or enforcement action taken by Amazon against your account for any reason, including your use of this Service.

You understand and agree that Amazon may change their platform, API, policies, or data availability without notice, and we have no control over such changes.

You are solely responsible for complying with Amazon's terms, policies, and conditions.

4. No Guarantee of Accuracy, Uptime, or Outcomes

While we aim to provide accurate, reliable alerts, we do not and cannot guarantee that:

  • Alerts will be delivered in real time or without delay.
  • Every suppression or downtime event will be detected or reported.
  • Our platform will always be available, secure, or error-free.
  • The use of our service will prevent you from experiencing lost sales, account issues, or listing penalties.

The Service is provided on a best-effort basis, and you agree to use it at your own risk.

5. Billing, Subscriptions, and Refunds

  • SKU Down charges $1.00 per ASIN per month, billed via Stripe.
  • Subscription fees are non-refundable unless otherwise specified.
  • You may cancel at any time; cancellation stops future charges but does not refund past charges.
  • You are responsible for maintaining a valid payment method and resolving failed transactions.

6. Termination and Suspension

We reserve the right to terminate or suspend your access to the Service at any time, with or without cause, especially if:

  • You breach these “Terms”;
  • You misuse the Service or its integrations;
  • Your actions create legal or technical risks for us.

Upon termination, your access will cease, and all active monitoring and alerts will stop. You remain responsible for any outstanding fees.

7. Acceptable Use Policy

You agree not to:

  • Use the Service to monitor ASINs that do not belong to you or your business;
  • Attempt to gain unauthorized access to Amazon systems;
  • Reverse engineer, decompile, or modify any part of the Service;
  • Use the Service in violation of any applicable law or Amazon policy;
  • Use automation, scraping, or third-party software that conflicts with Amazon's acceptable use policies while using our Service.

8. Intellectual Property

All content, branding, trademarks, and software provided through the Service are the property of TT Services LLC. You are granted a limited, non-exclusive, revocable license to use the Service for your business purposes only.

You may not copy, distribute, resell, or sublicense the Service or its components without our written permission.

9. Third-Party Services and Integrations

The Service relies on third-party services, including but not limited to:

  • Amazon (SP-API) for product data;
  • Stripe for billing;
  • Email and SMS providers for alert delivery.

We are not responsible for:

  • Any outages, slowdowns, data discrepancies, or policy changes made by third parties;
  • Your relationship with Amazon, including account health or suspension;
  • Delays or failures caused by third-party systems or infrastructure.

10. Limitation of Liability

To the fullest extent permitted by law, in no event shall TT Services LLC, its affiliates, employees, or contractors be liable for:

  • Any indirect, incidental, punitive, or consequential damages;
  • Loss of revenue, profit, data, business opportunity, or goodwill;
  • Damages arising from account suspensions, suppressed listings, missed alerts, or inaccurate data.

11. No Legal or Compliance Advice

SKU Down is not a legal service or compliance advisory firm. The alerts and information provided through the Service do not constitute legal, financial, or compliance advice.

You are solely responsible for interpreting and acting upon any alerts, and for maintaining compliance with Amazon's Terms of Service, policies, and regulations.

12. Indemnification

You agree to indemnify, defend, and hold harmless TT Services LLC, Goat Consulting, and its employees, contractors, and affiliates from and against any claims, damages, liabilities, or expenses arising out of:

  • Your use or misuse of the Service;
  • Your violation of these “Terms”;
  • Your violation of any third-party rights or policies, including Amazon's.

13. Governing Law and Dispute Resolution

These “Terms” shall be governed by and interpreted under the laws of the State of Minnesota, USA, without regard to its conflict of law principles.

Any dispute shall be resolved in state or federal courts located in Minnesota, and you consent to personal jurisdiction therein.

14. Changes to These Terms

We reserve the right to modify or update these “Terms” at any time. Updated versions will be posted to our website, and we may notify you via email or in-app notice. Continued use of the Service constitutes your acceptance of the modified “Terms”.
